AI Voice Receptionist Service Agreement

Service Agreement between Bowman Digital Solutions LLC and Client

1. SERVICE DESCRIPTION

Bowman Digital Solutions LLC ("Provider") agrees to provide an AI-powered voice receptionist service ("Service") to the Client. The Service includes:

  1. 24/7 automated call answering and routing
  2. Custom voice cloning technology to match Client's staff
  3. Intelligent call handling and lead qualification
  4. Call scheduling and appointment booking
  5. Call transcripts and analytics dashboard
  6. Integration support with Client's existing systems

2. PRICING AND PAYMENT

Client agrees to pay the following fees:

3. TERM AND TERMINATION

This Agreement begins upon execution and continues month-to-month. Either party may terminate with 30 days written notice. Upon termination:

Client agrees to:

  1. Provide accurate business and contact information
  2. Provide a voice sample for cloning (clear, professional recording)
  3. Maintain accurate phone numbers and forwarding settings
  4. Comply with all applicable laws, including TCPA regulations
  5. Not use the Service for unlawful purposes or harassment
  6. Keep login credentials secure and confidential

5. PROVIDER RESPONSIBILITIES

Provider agrees to:

  1. Maintain 99% uptime availability (excluding scheduled maintenance)
  2. Keep Client's data secure and encrypted
  3. Provide technical support during business hours
  4. Maintain compliance with telecommunications regulations
  5. Not share Client's voice or personal data with third parties
  6. Provide call transcripts and basic analytics

Client acknowledges that:

7. VOICE CLONING AND INTELLECTUAL PROPERTY

Client grants Provider a limited license to use Client's voice sample solely for the purpose of operating the AI voice receptionist. Provider retains no other rights to the voice sample. Upon termination, Provider will delete the voice sample upon Client's request.

8. LIMITATION OF LIABILITY

Provider's total liability under this Agreement shall not exceed the total fees paid by Client in the previous 12 months. Provider is not liable for:

9. COMPLIANCE AND REGULATIONS

Client is responsible for ensuring its use of the Service complies with all applicable laws, including the Telephone Consumer Protection Act (TCPA), state recording consent laws, and local regulations. Provider is not responsible for Client's compliance violations.

10. MODIFICATIONS TO AGREEMENT

Provider may modify this Agreement with 30 days written notice to Client. Continued use of the Service constitutes acceptance of modifications.

11. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties regarding the Service and supersedes all prior agreements.
